Thank you for your interest in participating in an Xpirient Elite Experience (hereafter referred to as “The Event.” Before you proceed to purchase tickets, we strongly recommend you to go through the following terms and conditions:

Throughout these terms and conditions, words like ‘holder’, ‘bearer’, and ‘purchaser’ will refer to you – the person who will buy the tickets to The Event. On the other hand, ‘our’, ‘us’, ‘we’, ‘issuer’, ‘provider’ and similar terms will indicate the organizers of The Event – Xpirient.

By opting to purchase, allocate or possess tickets to The Event, you automatically agree to our terms of use. If you have problems with any of the clauses listed below or do not agree with the risk allocations mentioned here, please do not purchase tickets or try to enter the The Event premises.

Please note that Xpirient reserves the right to make changes, revisions, and amendments, or add/remove sections from this set of terms and conditions – without any prior notifications to you. Such changes will be duly reflected on the website of the organizer (https://xpirient.com). These changes will relate back to the date of purchase of The Event tickets.

The price of one ticket to The Event is clearly stated on the organizer’s website. This figure is non-negotiable.

All event tickets are 100% non-refundable. No requests for a refund will be entertained.

If a Payment plan is offered for Event tickets, all deposits and payments are 100% non- refundable. If the purchaser fails to complete the payment plan, all payments made are forfeit to the seller and the purchaser will not be given access to the Event.

The ticket you purchase represents a revocable right to attend the The Event. This license can be revoked at any time by the issuer at its sole discretion, without any prior notifications or compensation options. If the license is revoked, you will not be granted entry to any facilities, transportation, or vendors associated with The Event.

The bearer has to assume full responsibility of the The Event tickets, once (s)he receives it. Xpirient has no liabilities – financial, legal, or otherwise – in case the delivered tickets are stolen, lost, damaged, destroyed or rendered unusable in any other way.

Kindly note that https://xpirient.com is the sole authorized source for purchasing The Event tickets. If you obtain your ticket(s) from any other unauthorized source, you take on the risks of those tickets turning out to be counterfeit or reported to be stolen. The issuer has the right to dishonor such stolen/counterfeit tickets and declare them as void.

The Event tickets delivered to you are not meant to be used for illegal reselling, copying, reproducing, or misrepresenting in any form. You cannot use the ticket(s) for any promotional/advertising purposes either (including sweepstakes and competitions) without our prior approval. Any proven record of such activities will result in immediate seizure and cancellation of your ticket(s).

Please note that The Event tickets cannot be redeemed against cash, credits, or any other benefits.

Xpirient has the right to investigate if there has been any violation of the The Event ticketing terms and conditions. In case of any conflicts, the decision of Xpirient will be deemed final (i.e., the issuer will remain the final arbiter in cases of disputes).

The event service will be deemed to have been delivered in its entirety as soon as The Event starts. From that point on, no refund requests will be entertained.

If you are not able to attend The Event, or if you are delayed in attending The Event – due to travel delays, federal regulations, organizer policies, weather-related problems, emergencies, venue shutdown/evacuation or any other reason, you will not be eligible for any refunds or future credits.

If The Event is cancelled in its entirety due to any unforeseen circumstances, Xpirient has the sole and absolute right to:

1. reschedule the event, or
2. issue a partial/full refund, or
3. not issue any refunds.

Please note that the decision of the issuer in such cases will be deemed final and binding.

If The Event is cancelled due to any factors or causes not in the control of the issuer, the latter will offer a partial or full refund, or postpone the event, or provide a comparable ‘make good’ option. These factors will be inclusive of, but not limited to, natural disasters, federal/ state announcements, strikes, delays in production, and the like. Once again, the decision of Xpirient will be considered final.

If The Event has to be rescheduled to other dates, you will not be eligible for any refunds.

In case the event is fully canceled, the refund, if issued, will include ONLY the face value/ printed value of the ticket(s). The bearer cannot, under any circumstances, claim refunds on personal expenses including cost of travel to The Event, food, transport, shipping fees, processing fees, handling fees, and such other charges.

Losses, if any, occurring due to foreign exchange fluctuations at the time of refunds, have to be born by the purchaser. Xpirient cannot be, in any way, held liable for that.

All ticket sales are deemed as FINAL TRANSACTIONS. There will be no ticket returns/ exchanges/cancellations.

The Event is a ‘rain or shine’ event. By purchasing the event tickets, you automatically confirm that you/the attendee(s) are of the ‘minimum age’ or older, at the time of buying the ticket(s). The ‘minimum age’ of the primary traveler for attending The Event is 18.

If it is proven beyond doubt at the venue that an attendee is below the ‘minimum age’, (s)he will not be granted entry to The Event. No refunds, full or partial, will be issued either.

At the time of entering the event venue, you are required to produce the ticket and a valid identification document (ID). By presenting an ID, you confirm that all details present on it are accurate and updated.

By purchasing The Event tickets and presenting the same at the venue, you give your consent to Xpirient to collect certain information about yourself (name, picture, date of birth, gender, address, etc.) for verification and storage.

You hereby agree to forego all types of surcharge claims – full or in part – and all claims & entitlements related to it.

Xpirient does not take any responsibility for personal/financial damages caused to you by the venue, any 3rd party vendors including transportation companies, excursion providers, restaurants, valets, employees, or any other aspect of The Event. Xpirient does not take any responsibility for items lost/stolen/misplaced during The Event. Financial reimbursement claims on these counts will not be entertained.

1. In common with other companies, Xpirient acts only as an agent for tour members in arranging accommodation, transportation, sightseeing, admissions, and restaurant reservations as appropriate and agreed in each itinerary. As such, Xpirient shall not be liable for any injury, damage, loss, accident, delay, or irregularity which may be occasioned by reason of any company or person engaged in conveying the passengers, or otherwise in connection therewith, of any hotel owner, manager or employee.
2. Xpirient does not own or operate, nor is it an agent for any of the firms which will provide goods and services for the trip or for any option which may be available in connection with the trip (including but not limited to optional sightseeing, car rental, etc.) and Xpirient has not priced the trip or option to allow Xpirient to guarantee against failure of any such firms.
3. Accordingly, participant(s) agree to seek remedies directly with the supplier, and not to hold Xpirient or sponsoring organization liable, in the absence of its negligence, for any loss, injury, delay or expense which results directly or indirectly from any action or omission, whether negligent, criminal or otherwise, of any entity providing goods and services for the trip or any available option (e.g. without limitation, the quality of services, cleanliness of a hotel, hotel overbooking or any flight delays).
4. Participant(s) also agree not to hold Xpirient or sponsoring organization liable for circumstances beyond its control (e.g. force majeure, terrorism, war, or acts of God).
5. Participant(s) acknowledge that neither Xpirient nor its agents have made any representation or promises with the respect to the tour described Herein except as expressly set forth in Xpirient’s literature, unless such agreement is in writing and signed by an officer of Xpirient. Xpirient accepts no responsibility for losses or additional expenses due to delay, changes, or cancellations in train, bus, ship, airplanes or other services, sickness, weather, war, terrorist acts, strikes, quarantine, or other causes.
6. Baggage is transported at the client’s risk throughout the tour.

In consideration of the services and arrangements provided by Xpirient, you, for yourself and for your heirs, personal representatives or assigns, do hereby release, waive, discharge, hold harmless and agree to indemnify Xpirient, and its owners, officers, directors, agents and employees from any and all claims, actions, or losses for bodily injury, property damage, wrongful death, loss of services, lost profits, consequential, exemplary, indirect or punitive damages or otherwise which may arise out of or occur during your travel and any activities conducted in conjunction therewith. YOU SPECIFICALLY UNDERSTAND THAT YOU ARE RELEASING, DISCHARGING AND WAIVING ANY CLAIMS OR ACTIONS THAT YOU MAY HAVE PRESENTLY OR IN THE FUTURE FOR THE NEGLIGENT ACTS OR CONDUCT OF THE OWNERS, DIRECTORS, OFFICERS, EMPLOYEES OR AGENTS OF Xpirient.

The Event and Xpirient follow a common ‘zero-tolerance policy’ towards unauthorized drug usage or carrying at the venue, AND towards any type of behavior/actions that can be interpreted as lewd or obscene. If you are found in possession of prohibited items at The Event and/or if you indulge in any objectionable action, your participation in the event will be terminated immediately. Your event ticket(s) will become void from that point on.

Attendees of The Event may be filmed, photographed or sound recorded for broadcast, publication or security purposes whilst at the Event by the Organizer and our trusted sponsors and partners.

Please note that you purchase The Event tickets on your own free will. As such, you do not have the right to initiate a chargeback claim or dispute on the provider of the credit card/ debit card that had been used for the transaction. Further refund/return/cancellation requests will not be entertained either.

ARBITRATION: Any dispute concerning, relating or referring to these Terms and Conditions, the Event, or any claim for damages due to injury or death which occurs during or in connection with the Event shall be resolved exclusively by binding arbitration according to the then existing rules of the American Arbitration Association in an arbitration conducted in Frisco, Texas, U.S.A. Such proceedings will be governed by substantive Texas law. The dispute will be resolved by a single arbitrator who must be a lawyer admitted to practice in the courts of at least one state in the United States and have a minimum of fifteen years of experience in civil litigation. The arbitrator so described will be selected by the American Arbitration Association. Each party to the dispute shall have the right on a single occasion to veto the designation of an arbitrator so selected. There will be judicial review of the arbitrator’s decision if either side can show plain error in the application of law or be able to show an abuse of discretion with respect to factual findings. The parties waive the right to rely on any state law or statute which creates an exception to enforcement of the requirement that disputes be resolved pursuant to arbitration in the manner set forth herein. Arbitration against Xpirient must be commenced within six (6) months following the Event’s completion. Neither Xpirient nor any affiliate shall in any case be liable for other than compensatory damages, and you hereby waive any right to consequential, punitive or exemplary damages.

EXCLUSIVE GOVERNING LAW AND JURISDICTION: These Terms and Conditions shall be governed by the laws of the State of Texas without regard to conflicts of laws principles. If the right to seek arbitration is for any reason waived by both parties, or if judicial review of any arbitration is sought, any action or legal proceeding arising out of these Terms and Conditions shall be brought exclusively in the courts of the State of Texas, or, if it has or can acquire jurisdiction, in the United States District Court for the Northern District of Texas or the appropriate appellate courts and the parties hereby waive any objection to venue or jurisdiction in connection therewith.

In all cases of disputes between the ticket-bearer and the ticket-issuer, the decision of the latter will be deemed final. In case a dispute cannot be resolved, the help of an independent third-party arbiter will be sought.
